Terms of Service

Please read these Terms of Service carefully before using the TrancheLab platform. By accessing or using the Service, you agree to be bound by these terms. If you do not agree, do not use the Service.
1. Definitions
“TrancheLab,” “we,” “us,” or “our” refers to TrancheLab, Inc.
“Service” refers to the TrancheLab platform, including the web application at tranchelab.com, the API, and all related software and infrastructure.
“User,” “you,” or “your” refers to the individual or firm accessing the Service.
“Extracted Output” refers to structured capital structure data, tranche information, confidence scores, and source citations produced by the Service from uploaded documents.
“Uploaded Documents” refers to PDF files submitted by users for extraction.
2. Acceptance and Eligibility
By accessing or using the Service, you represent that you are at least 18 years old, have the authority to bind yourself or your firm to this Agreement, and agree to comply with all terms set forth herein. The Service is invite-only. Access is granted at TrancheLab's sole discretion and may be revoked at any time.
3. Your Account
You are responsible for maintaining the confidentiality of your account credentials and API keys. You are fully responsible for all activity that occurs under your account. You must notify us immediately at privacy@tranchelab.com if you suspect unauthorized access to your account. We will not be liable for any loss or damage arising from unauthorized use of your account.
4. Acceptable Use
You agree that you will not:
- Upload documents that are not public court filings or that you do not have the right to submit for processing
- Use the Service to process confidential, privileged, or non-public information without appropriate authorization
- Attempt to reverse engineer, decompile, or extract the underlying extraction models or algorithms
- Use the Service to build a competing product or service
- Resell, sublicense, or redistribute access to the Service or Extracted Outputs without our prior written consent
- Attempt to probe, scan, or test the vulnerability of the Service or its infrastructure
- Introduce malicious code, viruses, or disruptive content into the Service
- Use the Service in violation of any applicable law or regulation
We reserve the right to suspend or terminate your access immediately and without notice if we determine, in our sole discretion, that you have violated these terms.
5. Uploaded Documents
You represent and warrant that all documents you upload to the Service are public court filings available through PACER or similar public sources, and that you have the right to submit them for processing. You retain all rights to documents you upload. By uploading a document, you grant TrancheLab a limited license to process that document solely for the purpose of providing the Service to you.
Uploaded documents may be transmitted to third-party AI providers (including Groq, Google, OpenAI, Anthropic, and DeepSeek) for extraction processing. By using the Service, you consent to this transmission. If your firm has data residency or confidentiality requirements that prohibit this, do not upload documents to the Service.
6. Extracted Output and Accuracy Disclaimer
THE EXTRACTED OUTPUT PROVIDED BY THE SERVICE IS FOR INFORMATIONAL PURPOSES ONLY. IT DOES NOT CONSTITUTE LEGAL, FINANCIAL, INVESTMENT, OR PROFESSIONAL ADVICE OF ANY KIND.
Extraction is performed by large language models and deterministic post-processing. Outputs may contain errors, omissions, misclassifications, or hallucinations. TrancheLab does not guarantee the accuracy, completeness, or fitness for any particular purpose of any Extracted Output.
You are solely responsible for independently verifying all Extracted Output before relying on it for any purpose, including investment decisions, restructuring analysis, or advisory work. TrancheLab shall not be liable for any loss or damage arising from your reliance on Extracted Output.
7. Corrections and Feedback
If you submit corrections to Extracted Output, you grant TrancheLab a perpetual, irrevocable, royalty-free, worldwide license to use those corrections for any purpose, including to train, fine-tune, and improve extraction models. Corrections will be anonymized before use in training. You represent that any corrections you submit are accurate to the best of your knowledge.
8. Intellectual Property
TrancheLab owns all right, title, and interest in and to the Service, including the extraction pipeline, models, algorithms, software, and infrastructure. Nothing in these Terms transfers any intellectual property rights to you.
You own the documents you upload and the corrections you submit. TrancheLab grants you a limited, non-exclusive, non-transferable license to use the Extracted Output for your internal business purposes.
The TrancheLab name, logo, and all related trademarks are the property of TrancheLab, Inc. You may not use them without our prior written consent.
TrancheLab may identify you as a user or customer of the Service and may use your firm's name in customer lists, case studies, press releases, or on the Site, unless you notify us in writing at legal@tranchelab.com that you object to such use.
9. Payment
Access to the Service is subject to fees as agreed between you and TrancheLab. Payment obligations are non-cancelable. Except as expressly stated in a separate agreement, fees paid are non-refundable. We reserve the right to suspend access if payment obligations are not met.
10. Termination
TrancheLab may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. If you wish to terminate your account, contact us at legal@tranchelab.com. Upon termination, your right to access the Service ceases immediately. Sections 6, 7, 8, 11, 12, and 13 survive termination.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRANCHELAB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE OR ANY EXTRACTED OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL TRANCHELAB'S TOTAL LIABILITY TO YOU EXCEED THE FEES PAID BY YOU TO TRANCHELAB IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Shelby County, Tennessee. You consent to the personal jurisdiction of such courts.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term. These Terms constitute the entire agreement between you and TrancheLab with respect to the Service and supersede all prior agreements and understandings.
14. Indemnification
You agree to defend, indemnify, and hold harmless TrancheLab, Inc. and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any documents you upload or any Extracted Output you rely upon. TrancheLab reserves the right to assume exclusive control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with TrancheLab's defense of such claims.
15. Confidentiality
In the course of using the Service, you may receive non-public information about TrancheLab, including but not limited to pricing, product roadmap, beta features, extraction model details, and internal architecture (“Confidential Information”). You agree not to disclose Confidential Information to any third party without TrancheLab's prior written consent, and to use Confidential Information only for the purpose of using the Service under these Terms. This obligation does not apply to information that is or becomes publicly available through no fault of yours, or that you are required to disclose by law or court order.
16. Force Majeure
TrancheLab shall not be liable for any failure or delay in performance of the Service resulting from causes beyond our reasonable control, including but not limited to outages or failures of third-party infrastructure providers (including Render, Vercel, or LLM API providers), internet disruptions, acts of God, governmental actions, or labor disputes. In such events, TrancheLab will use commercially reasonable efforts to restore the Service as quickly as practicable.
17. Changes to These Terms
We may update these Terms at any time. We will notify you of material changes by updating the “Last Updated” date and, where appropriate, by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
